Terms of Service

1. Agreement to Terms

By accessing or using CiteReach ("the Service"), operated at citereach.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

"We," "us," and "CiteReach" refer to the operator of the Service. "You" refers to the individual or entity accessing or using the Service.

2. Description of the Service

CiteReach is an AI visibility monitoring platform. The Service queries third-party AI engines — including OpenAI (ChatGPT), Perplexity, Anthropic (Claude), and Google (Gemini) — with prompts related to your industry and brand, then analyzes the responses to track whether, where, and how your brand is mentioned, recommended, or cited.

The Service includes a free visibility audit, a paid subscription dashboard with automated monitoring, analytics, scoring, and reporting features.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Accounts

To access the dashboard, you must create an account using Google OAuth via our authentication provider (Supabase Auth). You are responsible for maintaining the security of your account credentials and for all activity under your account.

You agree to provide accurate and complete information during onboarding, including your brand name, industry, competitors, and related business details. This information is used solely to generate relevant monitoring prompts and deliver the Service.

5. Subscriptions and Billing

Paid plans are billed monthly through our billing provider, Polar.sh. By subscribing, you authorize recurring charges at the rate of your selected tier (currently Starter at $19/month or Growth at $79/month). Prices may change with 30 days' notice.

Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing period.

Downgrades take effect at the end of your current billing period. Your higher-tier features remain active until then. When the downgrade applies, prompts exceeding the new tier's limit are automatically retired (lowest-scoring first), and competitors exceeding the new limit are trimmed (lowest-priority first).

Cancellation. You may cancel your subscription at any time. You retain access to paid features until the end of your current billing period.

Refunds. We do not offer refunds for partial billing periods. If you believe you were charged in error, reach out on X (@sambamdamnn).

6. Free Visibility Audit

The free audit is provided without registration. By submitting your domain and email, you consent to receiving the audit results via email and acknowledge that we may store your submission as a lead for marketing purposes. You can opt out of further communications at any time.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Submit false, misleading, or deceptive brand or competitor information.
• Attempt to reverse-engineer, scrape, or extract data from the Service beyond what is displayed in your dashboard.
• Use the Service to manipulate, spam, or abuse third-party AI engine APIs.
• Share your account credentials or allow unauthorized access to your account.
• Interfere with or disrupt the Service, its servers, or connected networks.
• Resell, redistribute, or sublicense any part of the Service without written permission.

We reserve the right to suspend or terminate your account for violations of these Terms.

8. Intellectual Property

The Service, including its design, code, analytics algorithms, scoring models, and documentation, is owned by CiteReach and protected by applicable intellectual property laws.

Prompts generated by the Service for your monitoring library are created for your use within the platform. You may not extract or republish them in bulk.

AI engine responses collected through checks are reproductions of third-party AI outputs and are subject to the respective AI provider's terms. CiteReach does not claim ownership of AI-generated content.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

10. Third-Party Services

The Service relies on third-party providers to function. These include, but are not limited to:

• AI engines: OpenAI, Anthropic, Google, Perplexity — for querying and response analysis.
• Supabase — for database hosting and authentication.
• Polar.sh — for subscription billing and payment processing.
• Resend — for transactional and report emails.

We are not responsible for the availability, accuracy, or content of third-party AI engine responses. AI outputs may change without notice, and we do not guarantee any specific mention rate, ranking position, or visibility outcome.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI engine responses are accurate, complete, or representative of how real users experience those AI engines.
• Visibility scores, mention rates, or analytics reflect actual market position or customer perception.
• Improvements in AI visibility will result in increased traffic, leads, or revenue.

12. Limitation of Liability

To the maximum extent permitted by law, CiteReach and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless CiteReach from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may stop using the Service and close your account at any time by reaching out on X (@sambamdamnn).

We may suspend or terminate your access at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which CiteReach operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, or if necessary, in the courts of competent jurisdiction.
